Welcome to Gordy AI ("Gordy," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, software, and services (collectively, the "Services"). By creating an account or using our Services, you agree to be bound by these Terms.

IMPORTANT DISCLAIMER: Gordy AI is a software tool, not a law firm. We do not provide legal advice, and no attorney-client relationship is formed by your use of the Services. All outputs are for informational purposes only and should be reviewed by a qualified entertainment attorney.

1. Not Legal Advice

The Services use artificial intelligence to assist with drafting, analyzing, and understanding music industry agreements. However:

No Attorney-Client Relationship: Use of Gordy does not create an attorney-client relationship between you and us.
Informational Purposes Only: The content, drafts, and analyses generated by Gordy are provided for general informational purposes and self-help only. They are not a substitute for professional legal advice.
Review Required: You should not sign any agreement or take any legal action based solely on Gordy's output. We strongly recommend having all documents reviewed by a qualified attorney in your jurisdiction.
No Guarantee: We do not guarantee that our outputs are accurate, complete, current, or legally binding in any specific jurisdiction.

2. User Content and Data Privacy

We respect your ownership of your data.

Ownership: You retain all rights and ownership in the documents, text, and other content you upload or input into the Services ("User Content").
Limited License: You grant us a limited, non-exclusive, worldwide license to access, store, and process your User Content solely for the purpose of providing the Services to you (e.g., to analyze a contract you upload).
No AI Training: We do NOT use your User Content to train or fine-tune our AI models for the benefit of other users. Your confidential contracts remain private to your account.
Data Deletion: If you delete your account, your User Content will be deleted from our active systems, subject only to routine backup retention and legal compliance obligations.

3. Acceptable Use

You agree to use the Services only for lawful purposes. You will not:

Use the Services to generate fraudulent, misleading, or illegal contracts or content.
Upload content that infringes on the intellectual property rights of others.
Attempt to reverse engineer, decompile, or extract the source code or AI models underlying the Services.
Share your account credentials with third parties.
Use the Services to harass, harm, or exploit others.

4. Intellectual Property

The Services, including our software, interface, branding, and proprietary AI workflows, are the exclusive property of Gordy AI. These Terms do not grant you any right, title, or interest in the Services other than the limited right to use them in accordance with these Terms.

5. Subscription and Payment

Certain features of the Services may require a paid subscription or purchase. By selecting a paid tier, you agree to pay the applicable fees. Payments are processed by third-party payment processors (e.g., Stripe). We reserve the right to change our pricing upon notice to you.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GORDY AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE SERVICES; (B) ANY OUTPUT OR CONTENT GENERATED BY THE SERVICES; OR (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL GORDY AI'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF $100 OR THE AMOUNT PAID BY YOU TO GORDY AI IN THE LAST 12 MONTHS.

7. Indemnification

You agree to indemnify, defend, and hold harmless Gordy AI and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Services, your User Content, or your violation of these Terms.

8. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. You may stop using the Services at any time. Upon termination, your right to use the Services will immediately cease.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Los Angeles County, California, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

10. Changes to Terms

We may modify these Terms at any time. If we make material changes, we will provide notice through our Services or by other means. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
